AUTHORIZATION, RELEASE & AGREEMENT

      By submitting a video recording, a script for a video recording or any other form of written, aural or video content (“Content”) to The Middle Ground, an IRC 501(c)(3)  nonprofit corporation (“TMG”), for posting on TMG’s YouTube channel and/or website, you surrender all rights, privileges and ownership of the Content to TMG as a voluntary contribution to support TMG’s charitable purpose and mission and you waive the right to any compensation or other consideration in exchange for your contribution.  You further acknowledge that the Content has no pecuniary value to TMG and that you are therefore not entitled to any charitable deduction on account of your contribution of the Content to TMG. 

      You also give and grant forever to TMG, and its licensees, successors and assigns the right to use, edit, modify, excerpt from, reproduce, distribute, publish and copyright (in any media now existing or hereinafter discovered and in whole or in part) the Content, including any name, image, voice, picture, portrait, likeness words and actions as they may be recorded or reflected in the Content and as the Content may be subsequently created or produced by TMG, its agents or assigns in connection with posting the Content on TMG’s YouTube channel, website or on any other medium, including but not limited to broadcast and written publications, intangible or electronic form.

      You also represent and warrant to TMG that, prior to submitting the Content to TMG for posting and surrendering your right and ownership thereto, you held and rightfully possessed all rights and ownership to any images, words, sounds, scripts or dialogue contained in the Content, including but not limited to the copyrights thereto and the legally binding permission of all persons whose images, words or sounds (including music), appear in the Content,   You indemnify TMG for, and hold TMG harmless against, any claims made against TMG, if officers, agents or assigns, for unauthorized use of any images, words, sounds (including music), scripts or dialogue or any form of infringement of copyrights, trademarks or other forms of intellectual property.  You will immediately notify TMG of any pending or threatened claims against you, TMG or any other persons or entities alleging any such unauthorized use or infringement.   

      You agree and acknowledge that, by submitting the Content to TMG for posting, you have irrevocably assigned ownership of the Context to TMG, that it is owned exclusively by TMG and that TMG may copyright the Content and any material containing the same.  You agree that you will not publish or post the Content yourself or through others, other than by links directing others to TMG’s YouTube channel or website, and you will not provide copies of some or all of the Content to any other person or entity for posting, publication or for any commercial use.     

      You authorize TMG to use the Work Product and any materials derived therefrom on TMG’s website and YouTube channel, if and to the extent that TMG so elects to use it.  You waive any right to inspect or approve the Content as TMG may elect to post or publish it in any form or any other use to which it may be applied by TMG.

      You release, discharge, and agree to hold harmless TMG and its respective officers, agents, attorneys, legal representatives, and assigns, and all persons acting under their authority from any liability by virtue of any blurring, distortion, alteration, or use in composite form, whether intentional or otherwise, that may occur or be produced by the Content or in any subsequent processing of the Content, as well as any publication thereof.

      You represent and warrant to TMG that you are at least 18 years old and you have the legal right to enter into this agreement in your own name,

      TMG IS UNDER NO OBLIGATION TO POST THE CONTENT YOU SUBMIT ON ITS YOUTUBE CHANNEL OR WEBSITE.

      TMG HAS THE EXCLUSIVE RIGHT TO DECIDE, IN ITS SOLE DISCRETION, WHETHER TO POST THE CONTENT ON ITS YOUTUBE CHANNEL OR WEBSITE.  TMG MAY ELECT TO DEFER INDEFINITELY ITS DECISION WHETHER TO DO SO.  YOU ARE NOT ENTITLED TO ANY NOTICE OF TMG’S DECISION WHETHER TO POST THE CONTENT OR THE ACTUAL POSTING THEREOF.    

      EVEN IF TMG NEVER POSTS THE CONTENT, TMG WILL RETAIN ALL OWNERSHIP AND OTHER RIGHTS TO THE CONTENT, AS DESCRIBED ABOVE.
